1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website located at condoplex.ca (the “Site”), operated by Condoplex Systems Inc. (“Condoplex,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site.

These Terms apply to all visitors, including property managers, condo boards, developers, general contractors, dealers, integrators, and residents who visit or interact with the Site.

2. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, technology, or legal requirements. Updates take effect once posted to the Site with a revised effective date. Continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.

3. Use of the Site

You may use the Site for lawful purposes only, including researching Condoplex products, requesting quotes or information, accessing dealer/partner resources, and, if enabled, placing online orders. You agree not to:

Use the Site in any way that violates applicable law or regulation
Attempt to gain unauthorized access to the Site, our systems, or any dealer/partner portal
Interfere with or disrupt the operation of the Site or servers/networks connected to it
Use automated means (bots, scrapers) to access or extract data from the Site without our written consent
Upload or transmit viruses, malware, or other harmful code
Misrepresent your identity or affiliation, including impersonating Condoplex, a dealer, or another user

4. Intellectual Property

All content on the Site — including text, graphics, logos, product images, specifications, videos, and software — is the property of Condoplex Systems Inc. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws. “Condoplex” and associated logos are trademarks of Condoplex Systems Inc..

You may view, download, and print content from the Site for your own personal or internal business use (e.g., evaluating products, preparing a quote, or training staff). You may not reproduce, distribute, modify, republish, or create derivative works from Site content for commercial purposes without our prior written consent.

5. Product Information

We make reasonable efforts to ensure product descriptions, specifications, images, and pricing on the Site are accurate and current. However, specifications may change without notice, and we do not warrant that all information is complete, current, or error-free. Product installation should always be performed by a qualified integrator in accordance with Condoplex's current installation documentation and applicable building codes.

Nothing on the Site constitutes engineering, security, or professional advice specific to your building or project. You should consult directly with Condoplex or an authorized dealer/integrator before making purchasing or installation decisions.

6. Dealer, Integrator, and Partner Content

Certain areas of the Site (or a linked partner portal) may be restricted to authorized dealers, integrators, or partners and may require login credentials. You are responsible for maintaining the confidentiality of any credentials issued to you and for all activity under your account. Training materials, installation guides, and co-branded assets made available to partners are licensed for use in connection with the sale, installation, or servicing of genuine Condoplex products only.

7. Marketing Communications and Newsletter Sign-Up

If you sign up to receive newsletters, product updates, or other marketing communications, we will send these in accordance with Canada's Anti-Spam Legislation (CASL) and our Privacy Policy. Every commercial electronic message will include a functional unsubscribe mechanism. You may withdraw consent at any time.

8. Orders and Payment (Future E-Commerce)

If and when the Site enables online ordering, the following will apply in addition to any separate terms of sale presented at checkout:

All prices are listed in the currency indicated at checkout and are subject to change without notice until an order is confirmed
We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or product unavailability
Payment is processed by a third-party payment processor; we do not store full payment card details on our systems
Shipping, delivery, return, and warranty terms will be set out in a separate Terms of Sale or order confirmation provided at the time of purchase

9. Live Chat (If Enabled)

If live chat is made available on the Site, messages you submit through chat may be recorded and retained in accordance with our Privacy Policy. Live chat is provided for general inquiries and does not constitute a binding quote, contract, or professional advice unless confirmed in writing by an authorized Condoplex representative.

10. Third-Party Links

The Site may contain links to third-party websites (e.g., dealer sites, social media, payment processors). We do not control and are not responsible for the content, accuracy, or privacy practices of third-party sites. Inclusion of a link does not imply endorsement.

11. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Product warranties, if any, are governed by the separate warranty terms provided with the applicable Condoplex product.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONDOPLEX SYSTEMS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Condoplex Systems Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, except where applicable consumer protection law in your jurisdiction requires otherwise.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any separate terms of sale or partner agreements applicable to you, constitute the entire agreement between you and Condoplex Systems Inc. regarding use of the Site, and supersede any prior agreements regarding the same subject matter.
